Terms & Conditions

Please read these Terms carefully. By creating an account or using Sira, you agree to be bound by them.

These Terms and Conditions (“Terms”) govern your access to and use of the Sira mobile application and related services (the “Service”) operated by Sira (“we,” “us,” or “our”). If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account and use the Service. By using the Service, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.

2. Account Registration

2.1 Account Creation

To access most features of the Service, you must register for an account by providing your name, email address, and a password. You may also register using Google or Apple sign-in.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized access to your account that is not caused by our negligence.

2.3 One Account Per Person

Each person may maintain only one active account. We reserve the right to suspend or terminate duplicate accounts.

3. Products and Orders

3.1 Product Listings

Product descriptions, images, prices, and availability are provided for informational purposes and are subject to change without notice. We make reasonable efforts to ensure accuracy but do not guarantee that all information is error-free.

3.2 Pricing

All prices are displayed in Nigerian Naira (NGN) unless otherwise stated. Prices include the listed product price but do not include delivery fees, which are calculated separately based on your delivery address.

3.3 Order Placement

When you place an order through the checkout process, you are making an offer to purchase the selected items. An order is not confirmed until payment is successfully processed and you receive an order confirmation.

3.4 Order Cancellation

We reserve the right to cancel or refuse any order for reasons including but not limited to: product unavailability, pricing errors, suspected fraud, or inability to verify payment. If we cancel your order after payment has been received, you will receive a full refund.

3.5 Product Availability

Product availability and quantities are subject to change. If an item in your cart becomes unavailable or the selected quantity exceeds available stock, you will be notified and the checkout will not proceed until the issue is resolved.

4. Payments

4.1 Payment Methods

We accept payments through: Paystack, Flutterwave, Nomba, and Pay-on-Delivery (where available). Available payment methods may vary and are displayed during checkout.

4.2 Payment Processing

Payments are processed by third-party payment providers. By submitting a payment, you agree to the terms and conditions of the applicable payment provider. We do not store your credit card or bank account details.

4.3 Payment Verification

All payments are verified with the payment provider before an order is confirmed. The payment amount is determined by the server based on your order total and cannot be modified by the client application.

4.4 Failed Payments

If a payment fails, your order status will reflect the failure. You may retry payment for failed orders through the app. If payment cannot be completed, the order will remain in a pending or failed state.

4.5 Refunds

Refund eligibility, timelines, and procedures depend on the specific circumstances. If you believe you are entitled to a refund, please contact us through the app’s Contact Us feature. Approved refunds will be processed through the original payment method.

5. Delivery

5.1 Delivery Service

We use third-party delivery partners, including FEZ Delivery, to fulfil orders. Delivery fees are calculated based on your delivery address and the weight of your order.

5.2 Delivery Addresses

You are responsible for providing accurate and complete delivery information. We are not responsible for delays or failed deliveries caused by incorrect or incomplete address information.

5.3 Delivery Tracking

You can track your order through the app. Tracking information is provided by our delivery partners and may experience delays in updating.

5.4 Delivery Timeframes

Estimated delivery times are provided as a guideline only and are not guaranteed. Delivery times may be affected by factors outside our control, including weather, traffic, and carrier delays.

5.5 Gift Orders

If you place a gift order (secret giver feature), the recipient’s name and contact information are required for delivery purposes. You represent that you have the right to provide this information and that the recipient will accept the delivery.

6. User Content

6.1 Reviews

You may submit reviews and ratings for products you have purchased. By submitting a review, you grant us a non-exclusive, royalty-free, perpetual licence to display, reproduce, and distribute your review in connection with the Service.

6.2 Content Standards

You agree that any content you submit (reviews, contact messages, profile information) will not contain material that is defamatory, obscene, abusive, infringing on intellectual property rights, or otherwise unlawful or harmful. We reserve the right to remove any content that violates these standards at our discretion.

6.3 Profile Pictures

You may upload a profile picture. Uploaded images must be in JPEG or PNG format and no larger than 5 MB. We reserve the right to remove inappropriate images.

7. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to any part of the Service, other users’ accounts, or any systems connected to the Service.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use automated means (bots, scrapers, etc.) to access the Service without our express written consent.
  • Submit false, misleading, or fraudulent information, including fake reviews.
  • Attempt to manipulate prices, payment amounts, or order statuses.
  • Circumvent any security measures, rate limits, or access controls.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Use the Service to send unsolicited communications or spam.

8. Intellectual Property

8.1 Our Property

The Service, including its design, features, content, software, and all associated intellectual property, is owned by us or our licensors and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written consent.

8.2 Trademarks

“Sira” and associated logos are our trademarks. You may not use our trademarks without our prior written consent.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total liability for any claims arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
  • We are not liable for the actions or omissions of third-party service providers, including payment processors and delivery partners.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sira, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

11. Account Suspension and Termination

11.1 By You

You may close your account at any time by contacting us. Upon closure, your access to the Service will be terminated. Outstanding orders will still be processed.

11.2 By Us

We may suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users or the Service, or for any other reason at our sole discretion. If we terminate your account for violations, you may not create a new account.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

12.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us and attempt to resolve the dispute informally for at least 30 days.

12.3 Jurisdiction

Any disputes that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts located in Nigeria.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

14. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated through the app or via email. Your continued use of the Service after revised Terms are posted constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Service and close your account.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sira regarding the Service and supersede any prior agreements.
